Under Notification No. 2463 dated 10 July 2026 on the extension of the penalty waiver for companies failing to file their Annual Declaration of Commercial Enterprise (“ADCE”), which limits the penalty to the last one year for a period of six months, the Ministry of Commerce (“MOC”) has announced a six-month extension of the penalty waiver for companies that have failed to submit their ADCE.
The decision follow continued requests and recognized the necessity for companies that intend to fulfill their obligation but were unable to meet previous filing deadlines. The initial waiver, announced in January 2026, expired on 1 April 2026.
To benefit from the above-mentioned extension of the penalty waiver, company owners or managers shall satisfy the following requirements:
- Pay the penalty for failure to file the ADCE for only the most recent year, and pay the applicable ADCE filing fees for all years for which the filings have not been made, within six months from the date of this Notification; and
- Participate in the Background Check of the company’s shareholders or owners in order to contribute to the strengthening of anti-money laundering measures.
Consequences of non-compliance
Companies that fail to comply with these conditions within the specified timeframe will be classified as Inactive Companies. Such classification may adversely affect their legal rights and corporate standing under applicable laws and regulations.
